This course will provide an in-depth overview of the applicable laws and regulations respecting onshore and offshore hedge funds, their formation issues, and related core documentation requirements.

In this upper-level seminar, students will examine form provisions found in offering documents, operating agreements, subscription agreements, and service provider agreements. Students will participate in written assignments involving the preparation of offering documents and required registration forms that may apply and will be required to negotiate various types of agreements that affect hedge funds.
